1. Agreement to Terms

By accessing or using Ply ("the Platform"), operated by Ply Craft Ltd, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

These terms apply to all users of the Platform, including creators, buyers, and visitors. We may update these terms from time to time — continued use of the Platform after changes constitutes acceptance.

2. Account Registration

To use certain features of the Platform, you must register for an account. When registering, you agree to:

  • Be at least 18 years of age.
  • Provide accurate, current, and complete information.
  • Maintain only one account per person.
  • Keep your login credentials secure and confidential.

You are responsible for all activity that occurs under your account. If you suspect unauthorised access, contact us immediately at legal@plycraft.co.

3. Creator Content & Intellectual Property

Creators retain all intellectual property rights to any content they upload to the Platform, including but not limited to patterns, images, descriptions, and tutorials.

By publishing content on Ply, you grant Ply Craft Ltd a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote your content solely in connection with the operation and marketing of the Platform. This licence terminates when your content is removed from the Platform.

You represent and warrant that you own or have the necessary rights to all content you upload and that such content does not infringe the intellectual property rights of any third party.

4. Pattern Sales & Revenue Share

When a pattern is sold on the Platform, revenue is split as follows:

  • 96.5% to the creator.
  • 3.5% to Ply Craft Ltd.

All pattern sales are processed via Stripe. The revenue share applies to the net sale price after payment processing fees have been deducted by Stripe.

5. Yarn Revenue Share

Creators who participate in Ply's yarn revenue programme earn a share of the gross profit generated by yarn sales attributed to their designs. The share depends on the creator's tier:

  • Indie tier: 30% of gross profit.
  • Pro tier: 40% of gross profit.
  • Branded tier: 50% of gross profit.

Gross profit is defined as the sale price of yarn minus the cost of goods (production, shipping to warehouse, and packaging). Tier eligibility and progression criteria are detailed in the Creator Agreement.

6. Payments

All creator payments are processed monthly via Stripe Connect. To receive payments, creators must:

  • Connect a valid Stripe account.
  • Complete all required KYC (Know Your Customer) verification.
  • Meet the minimum payout threshold of €10.

If the minimum threshold is not met in a given month, the balance carries forward to the next payment cycle. Ply Craft Ltd is not responsible for delays caused by Stripe or your financial institution.

7. Termination

Either party may terminate the relationship at any time. Upon termination:

  • All pattern rights revert to the creator immediately.
  • Patterns are removed from the Platform within 48 hours.
  • Any outstanding payments will be processed in the next payment cycle.
  • Creators in the Branded tier receive a 6-month off-ramp period during which co-branded yarn lines are wound down in an orderly fashion.

Ply Craft Ltd reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or repeatedly receive valid complaints.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ply Craft Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the Platform.
  • Any unauthorised access to or use of our servers and/or any personal information stored therein.
  • Any interruption or cessation of transmission to or from the Platform.

In no event shall Ply Craft Ltd's aggregate liability exceed the amounts paid to you through the Platform in the twelve (12) months preceding the claim.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
