Creator Agreement

This Creator Agreement ("Agreement") is between you ("Creator") and Ply Craft Ltd ("Ply", "we", "us"), governing your participation as a creator on the Ply platform. By joining as a creator, you agree to the following terms.

1. Definitions

  • Creator: any individual or entity that publishes patterns or participates in yarn revenue programmes on the Platform.
  • Platform: the Ply application, website, and associated services operated by Ply Craft Ltd.
  • Pattern: any knitting, crochet, weaving, spinning, or other fiber craft pattern published on the Platform, including associated files, images, and descriptions.
  • Yarn Revenue: income generated from yarn sales that are attributed to a Creator's designs through the Platform's attribution system.
  • Gross Profit: the sale price of yarn minus cost of goods (production, shipping to warehouse, and packaging).

2. Creator Obligations

As a Creator on Ply, you agree to:

  • Publish quality content that is accurate, well-tested, and complete.
  • Provide accurate descriptions including yarn requirements, gauge, sizing, and skill level.
  • Respond to buyer questions and support requests in a timely manner.
  • Ensure all content you publish is your original work or that you have the necessary rights and licences.
  • Comply with all applicable laws and regulations.

3. Pattern Licensing

All pattern licences on Ply are non-exclusive. This means:

  • You retain all intellectual property rights to your patterns at all times.
  • You can sell your patterns on other platforms simultaneously (Ravelry, Etsy, your own website, etc.).
  • You grant Ply a non-exclusive, worldwide licence to display, distribute, and promote your patterns solely in connection with the Platform.
  • This licence terminates when your patterns are removed from the Platform.

There is no exclusivity requirement. Your work is yours to sell wherever you choose.

4. Revenue Share

Pattern Sales

For every pattern sold on the Platform, the Creator receives 96.5% of the net sale price (after payment processing fees). Ply retains 3.5%.

Yarn Revenue Share

Creators earn a percentage of Gross Profit on yarn sales attributed to their designs. The rate depends on your tier:

  • Indie: 30% of Gross Profit.
  • Pro: 40% of Gross Profit.
  • Branded: 50% of Gross Profit.

Payment Schedule

All earnings are paid monthly via Stripe Connect. The minimum payout threshold is €10. If the threshold is not met, the balance carries forward.

5. Branded Tier Terms

Creators in the Branded tier participate in co-branded yarn lines. Under this arrangement:

  • Ply handles all manufacturing, logistics, and fulfilment for co-branded yarn lines.
  • The Creator owns their brand name, colourway names, and all associated intellectual property.
  • The Creator receives 50% of Gross Profit on all co-branded yarn sales.
  • Either party may end the Branded arrangement with written notice.

If a Branded Creator leaves the Platform, a 6-month off-ramp period applies. During this period, existing co-branded inventory is sold through, and the Creator continues to receive their revenue share. After 6 months, remaining inventory is either transferred to the Creator or discontinued.

6. IP Ownership

You own everything you create.

Ply does not claim ownership of any Creator content. All patterns, brand names, colourway names, images, descriptions, and other materials you create remain your sole intellectual property.

The licence you grant Ply is limited to display and distribution on the Platform. We will never sublicence, modify, or use your content outside the Platform without your explicit written consent.

7. Termination & Data Export

You can leave Ply at any time, for any reason. Upon termination:

  • You can export all your data (patterns, sales history, analytics, customer data you are entitled to) at any time via the Platform's export tool.
  • Your patterns will be removed from the Platform within 48 hours of your termination request.
  • All outstanding earnings will be paid out in the next regular payment cycle.
  • Branded tier Creators receive a 6-month off-ramp (see Section 5).

Ply may terminate this Agreement if you materially breach these terms and fail to cure the breach within 14 days of written notice.

8. Dispute Resolution

In the event of a dispute arising from this Agreement, the parties agree to the following process:

  1. Informal resolution: both parties will first attempt to resolve the dispute through good-faith discussion within 30 days.
  2. Mediation: if informal resolution fails, the dispute will be referred to CEDR (Centre for Effective Dispute Resolution) for mediation.
  3. Courts: if mediation does not resolve the dispute, either party may bring proceedings in the courts of England and Wales.

9. Amendments

We may amend this Agreement from time to time. For material changes:

  • We will provide 60 days' written notice before any material changes take effect.
  • Notice will be sent to your registered email address and displayed prominently on the Platform.
  • Revenue share rates are locked for 12 months from the date you accept this Agreement or any updated version. Changes to revenue share rates will not apply to you until your lock-in period expires.

If you do not agree to amended terms, you may terminate this Agreement before the changes take effect. Your existing earnings and rights under the prior terms will be honoured.
